Terms of Service

These Terms of Service (“Terms”) govern your use of MakerFlow, inventory-management and commerce-channel synchronization software provided by Koino Media, LLC (“MakerFlow”, “we”, “us”).

1. Agreement to these Terms

By creating an account, accessing or using MakerFlow, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use MakerFlow.

2. Eligibility

You must have the legal capacity to enter into this agreement. If you use MakerFlow on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

3. The MakerFlow service

MakerFlow provides inventory-management and commerce-channel synchronization software, including products, components, bills of materials, production, purchasing, inventory adjustments, sales records and integrations with supported sales channels. Features and available integrations may change over time.

4. Accounts

You are responsible for providing accurate account information, for keeping your account credentials confidential, and for activity that occurs under your account. Notify us promptly of any unauthorized use.

5. Free trial

MakerFlow currently offers eligible new customers a 60-day free trial. If you have selected a paid plan and established a valid payment method or subscription, the paid subscription may begin automatically when the trial expires. The applicable price is disclosed before paid service begins, and you may cancel before the trial ends to avoid the first paid charge.

Trial and promotional eligibility may be limited, changed or discontinued on a prospective basis. This does not allow us to arbitrarily shorten a trial already active and promised to you.

6. Subscriptions and billing

  • Paid plans are monthly recurring subscriptions that renew automatically until canceled.
  • Current pricing is displayed on our pricing page and in the app’s billing screens.
  • Applicable taxes may be added.
  • You authorize us and our payment processor to charge your payment method on a recurring basis.
  • Prices may change prospectively with appropriate notice.
  • Failed payments may result in retries, restricted access, suspension or termination.

7. Plan changes

Upgrades may take effect immediately and may result in a prorated charge for the remainder of the current billing period. Downgrades generally take effect at the next renewal date. Where applicable, the effect of a change is shown to you before you confirm it.

8. Cancellation

  • You may cancel through MakerFlow’s subscription-management interface.
  • Cancellation normally takes effect at the end of the current paid billing period.
  • Access generally continues through that period unless otherwise stated in these Terms.
  • Cancellation prevents future renewals.
  • Where MakerFlow provides the functionality, you may reverse a scheduled cancellation before its effective date.
  • Cancellation does not automatically create a refund.

9. Refunds

Refunds are governed by our Billing, Cancellation & Refund Policy, which is incorporated into these Terms by reference.

10. Your data and ownership

You retain ownership of the business content and data you submit to MakerFlow. You grant Koino Media, LLC a limited, non-exclusive license to host, process, transmit, copy, display and otherwise use that data solely as necessary to provide, secure, support and improve MakerFlow and to comply with law. We do not claim ownership of your inventory or business data.

11. Connected services

  • Integrations are enabled only when you authorize them.
  • Third-party platforms have their own terms and privacy policies that govern your use of them.
  • We are not responsible for third-party outages, API changes, rate limits, policy changes or account suspensions.
  • The continued availability of any particular integration is not guaranteed indefinitely.
  • You are responsible for maintaining your accounts and authorizations with those platforms.

11a. Etsy integration

MakerFlow is solely provided by Koino Media, LLC (the “Application Developer”). Etsy, Inc. and its affiliates are not the developer or provider of MakerFlow and make no warranties of any kind regarding MakerFlow or data accessed through MakerFlow’s Etsy integration.

The term “Etsy” is a trademark of Etsy, Inc. This Application uses Etsy’s API, but is not endorsed or certified by Etsy.

12. Inventory and business decisions

MakerFlow is a software tool. The inventory information it shows depends on the data you and your connected platforms supply. We do not guarantee perfect inventory accuracy, uninterrupted synchronization, the absence of delays, the availability of third-party APIs, the prevention of overselling or stockouts, or financial or accounting accuracy.

You remain responsible for reviewing inventory, orders, purchasing and production information before making material business decisions. MakerFlow does not provide accounting, tax, legal or financial advice.

13. Acceptable use

You agree not to:

  • Use MakerFlow for unlawful purposes
  • Attempt unauthorized access to the service, other accounts or related systems
  • Interfere with or attack the security, integrity or availability of the service
  • Introduce malware or malicious code
  • Abuse or overload our APIs or infrastructure
  • Scrape, decompile or reverse engineer the service, except where such restrictions are prohibited by law
  • Infringe intellectual property or other rights
  • Use MakerFlow in a way that harms MakerFlow or other users

14. Intellectual property

Koino Media, LLC owns the MakerFlow software, branding, design, documentation and related intellectual property, excluding your data and third-party materials. No rights are granted other than the limited right to use the service under these Terms.

15. Feedback

If you voluntarily submit ideas, suggestions or feedback about MakerFlow, we may use them without restriction or obligation to you. This does not give us rights to your unrelated content or business data.

16. Changes to the service

We may modify features, integrations or the service architecture over time. Where a material change meaningfully affects paid service, we will handle it reasonably and provide notice where appropriate.

17. Suspension and termination

We may suspend or terminate access for nonpayment, security threats, unlawful or abusive use, or material breach of these Terms. You may stop using MakerFlow at any time. Following termination, we will handle your data consistent with our Privacy Policy and applicable law.

18. Disclaimers

To the maximum extent permitted by law, MakerFlow is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Nothing in these Terms overrides consumer rights that cannot legally be waived.

19. Limitation of liability

To the maximum extent permitted by applicable law, MakerFlow and Koino Media, LLC will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data or lost business opportunities.

To the maximum extent permitted by applicable law, the aggregate liability of Koino Media, LLC and its affiliates, officers, employees, agents, and service providers arising out of or relating to MakerFlow or these Terms will not exceed the amounts you paid to MakerFlow during the 12 months immediately preceding the event giving rise to the claim, or, if you paid nothing during that period, one hundred U.S. dollars ($100). These limits do not apply to liability that cannot legally be excluded or limited.

20. Indemnification

You agree to defend, indemnify and hold harmless Koino Media, LLC and its officers, members and employees from claims, damages, liabilities and reasonable costs arising from your unlawful content or use of MakerFlow, your violation of third-party rights, or your material violation of these Terms.

21. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

22. Disputes and venue

Before filing a claim, you agree to try to resolve the dispute informally for at least 30 days. Send notice of a dispute to support@makerflow.io or to our mailing address below.

Disputes not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to personal jurisdiction and venue there, except where applicable consumer law requires or permits another forum.

23. Changes to these Terms

We may update these Terms prospectively and will provide notice where legally required. Where legally permitted, continued use of MakerFlow after the effective date of an update constitutes acceptance of the updated Terms.
